Role & responsibilities
- To Maintain Secretarial records of the Companies and their periodical updation and manage filing systems.
- To Maintain and update statutory Registers and Records.
- To Prepare and file forms, returns, and applications with the Ministry of Corporate Affairs.
- To Prepare agenda, notes on the agenda, and minutes for Board, Board Committees, and General Meetings.
- To Assist in the preparation of the annual report of the Companies.
- Convening and servicing annual general meetings (AGM), meetings (producing agendas, taking minutes, conveying decisions, etc.,)
- Handling correspondence before and after meetings which includes sending prior notice, documenting minutes, and creating Board Resolutions as needed.
- Ensure total compliance with all laws related to corporate governance such as Companies Act and SEBI regulations.
- Responsible for all secretarial matters, including organizing and managing board meetings, general meetings, and committee meetings maintaining statutory registers and secretarial records preparing documents such as notices, minutes of meetings, and timely filing of forms providing guidance and administrative support to the board of directors.
- Periodical compliances with NSE, BSE, CDSL, NSDL, and Registrar & Share transfer agent.
- Correspondence with Bankers.
- Timely redressal of Shareholders/stakeholders\' queries.
- Compliances relating to overseas investments.
- Able to coordinate with SEBI/NSE/BSE with all requirements.
- Guiding the management and directors in ensuring timely compliances.
