Job description
Roles and Responsibilities
- manage compliances related to raising of funds by way of Equity and Debt (including term loans, NCDs etc)
- Preparation of notices and minutes of meetings of Boards including its committees & Shareholders.
- Proper maintenance of secretarial and statutory records
- Ensure NBFC compliances with respect to the RBI regulations
- Fulfil corporate statutory obligations by filing necessary forms and documents with statutory authorities.
- Continuously undertaking necessary actions, to uphold and improve Corporate Governance Process.
- Drafting of required policies and need to ensure all are implemented properly.
- Vetting of legal agreements to ensure the agreements are in line with applicable guidelines.
- Continuous monitoring of operations / managerial actions and ensuring they are in compliant of statutes not limited to Companies Act, SEBI Regulations, RBI Regulations.
- Develop and maintain an effective compliance charter/tracker suitable with scale and size of the organization.
Desired Candidate Profile
I. CS having 2 to 5 years of post-qualification experience with NBFC exposure (preferable) and should be able to manage RBI Directions, Companies Act, 2013, SEBI regulations and FEMA compliances.
II. CS having 0 to 2 years of post-qualification experience and must possess decent understanding of Companies Act, 2013, Secretarial Standards of ICSI, SEBI regulations.
III. CS Management Trainee- preferably professional cleared
