Job description

Key Responsibilities:

Corporate Governance:
  • Assist in organizing and managing board meetings, including the preparation of agendas and minutes.
  • Maintain statutory records and ensure compliance with relevant laws and regulations.
  • Provide guidance to the board on corporate governance best practices.

Compliance Management:
  • Monitor and ensure compliance with statutory and regulatory requirements.
  • Prepare and file necessary documents with regulatory authorities.
  • Stay updated on changes in corporate laws and regulations affecting the company.

Company Secretarial Functions:
  • Act as a point of communication between the board, management, and shareholders.
  • Draft and review legal documents, contracts, and agreements.
  • Manage the company\'s register of members and other statutory registers.

Risk Management
  • Identify potential areas of non-compliance and work to mitigate risks.
  • Provide advice on legal and compliance issues to management.

Communication and Reporting:
  • Prepare and circulate reports to the board and relevant committees.
  • Communicate with shareholders and respond to their queries.

Collaborations
  • Work closely with other departments, such as legal, finance, and human resources, to ensure coordinated efforts in compliance and governance matters.

Professional Development:
  • Stay informed about changes in relevant legislation and industry best practices.
  • Attend training and professional development programs to enhance skills.

Qualifications and Skills:
  • Bachelor\'s degree in Law, Business, or a related field.
  • Qualified Company Secretary (ACS or equivalent).
  • 1-3 years of relevant work experience.
  • Strong knowledge of corporate laws and regulations.
  • Excellent communication and interpersonal skills.
  • Attention to detail and strong organizational abilities.
  • Ability to work independently and collaboratively.
