Qualification: CS

Job description
Role & responsibilities

  • To ensure full compliance to Listing Agreement with Stock Exchanges
  • To ensure strict adherence to Corporate Governance and practices adopted by the company.
  • Drafting and vetting of Legal Documents.
  • To conduct and record board meetings & other committee meetings including shareholders meetings as per requirements.
  • Timely preparation & filing of all statutory documents with ROC, SEBI, Registrar & other authorities.
  • To ensure compliance with various statutory
  • To maintain Statutory Registers as required under Companies & Allied acts.
  • To maintain all documents pertaining to the above tasks and be responsible for all legal documents related to the company, its subsidiaries, directors etc.
  • To ensure FEMA compliances related with RBI including filing of ODI, APR and Assets / Liabilities etc.
  • Confirmation of annual disclosures by the directors of both Companies in forms DIR-8 & MBP-1 prepared by the internal Company Secretary of the Company;
  • Confirmation of various drafts of notice(s) and other necessary secretarial documentation for Board Meetings to be held during the financial year;
  • Attending the Board Meetings and General Meetings and advising the Board wherever necessary;
  • Confirmation & finalization of draft Minutes of the Board Meetings to be held during the financial year
  • Preparation, certification, and uploading of e-forms as per applicable provisions of the Companies Act, 2013, and Rules for matters arising out of the Board Meeting(s) held during the year.
