Job Summary
The Deputy Manager/Assistant Manager - Secretarial and Compliance will be responsible for ensuring that the company adheres to all legal and regulatory requirements, maintaining corporate records, and supporting the implementation of robust compliance frameworks. This role involves managing secretarial tasks, compliance reporting, regulatory filings, and supporting the governance structure of the organization.
Key Responsibilities
Secretarial Duties
  • Board and Committee Meetings: Organize and coordinate board and committee meetings, including preparing agendas, notices, and minutes.
  • Corporate Records Management: Maintain and update statutory registers and records, ensuring they are accurate and up to date.
  • Annual General Meetings (AGMs): Plan and manage AGMs, including the preparation of necessary documents and ensuring compliance with legal requirements.
  • Corporate Filings: Ensure timely filing of annual returns, financial statements, and other required documents with regulatory authorities.
Compliance Responsibilities
  • Regulatory Compliance: Monitor and ensure compliance with all relevant laws, regulations, and industry standards, including Companies Act, SEBI regulations, and other applicable statutes.
  • Policy Implementation: Assist in developing, implementing, and reviewing company policies and procedures to ensure compliance and mitigate risks.
  • Internal Audits: Conduct internal audits and compliance checks to identify and address potential compliance issues.
  • Training and Awareness: Conduct training sessions and workshops to promote compliance awareness among employees and stakeholders.
  • Reporting: Prepare and submit compliance reports to senior management and regulatory bodies as required.
Governance Support
  • Governance Framework: Support the development and maintenance of a strong corporate governance framework.
  • Ethical Standards: Promote and uphold the highest standards of integrity, ethics, and corporate governance within the organization.
  • Risk Management: Identify and assess compliance risks and develop strategies to mitigate them.
Qualifications and Skills
  • Education: Bachelors degree in law, Commerce, Business Administration, or a related field. A CS (Company Secretary) qualification is highly desirable.
  • Experience: Minimum of 5 years of experience in secretarial and compliance roles within a corporate environment.
  • Knowledge: In-depth understanding of corporate laws, regulations, and compliance requirements. Familiarity with SEBI regulations, Companies Act, and other relevant statutes.
Skills:
  • Strong organizational and time management skills.
  • Excellent communication and interpersonal skills.
  • Attention to detail and accuracy.
  • Ability to work independently and as part of a team.
  • Proficiency in MS Office and legal compliance software.
